PRODUCTION MANAGEMENT

These Terms and Conditions ("Terms") govern your use of CineSmith production management software ("Software"), developed and operated by Storybreak ("Company", "we", "us"). By accessing or using CineSmith, you agree to be bound by these Terms.
Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to access and use the Software for your personal or professional production management purposes. This license does not include the right to sublicense, distribute, modify, reverse-engineer, or create derivative works from the Software.
You may create an account using your email address. You are responsible for maintaining the confidentiality of your login credentials. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.
CineSmith is currently offered free of charge. We reserve the right to introduce paid plans, premium features, or subscription tiers at any time. If pricing changes are introduced, existing free users will be notified in advance and will not be charged without explicit consent.
IMPORTANT: The budgeting features within CineSmith are provided as planning and estimation tools only. CineSmith is NOT a certified accounting or financial advisory tool. Budget calculations, cost estimates, fringe calculations, contingency percentages, and all other financial figures generated by the Software are approximations and should not be relied upon as the sole basis for financial decisions.
You acknowledge that: (a) all budget data entered and calculated within CineSmith is for reference and planning purposes only; (b) the Software does not replace professional accounting, auditing, or financial advisory services; (c) you are solely responsible for verifying all financial figures with qualified professionals before making financial commitments; (d) currency conversions, tax calculations, and fringe benefit computations may not reflect current rates or regulations.
Production schedules, stripboards, day breaks, and shoot day calculations are planning tools. Actual production timelines may vary based on factors outside the Software's control. CineSmith does not guarantee the accuracy or feasibility of any generated schedule.
You retain full ownership of all data, budgets, schedules, and content you create within CineSmith. Your data is stored locally in your browser's localStorage unless you explicitly choose to export it. We do not access, analyze, sell, or share your production data, budget information, or any content you create within the Software.
You are responsible for maintaining backups of your data. We are not liable for data loss resulting from browser cache clearing, device changes, or any other circumstances.
The Software, including its design, code, user interface, documentation, and all related intellectual property, is owned by Storybreak and protected by copyright and other intellectual property laws. "CineSmith" is a trademark of Storybreak. The Software's design is inspired by industry-standard production management workflows but is independently developed.
You agree not to: (a) use the Software for any unlawful purpose; (b) attempt to gain unauthorized access to the Software or its systems; (c) interfere with or disrupt the Software's operation; (d) use automated tools to scrape, copy, or extract data from the Software; (e) impersonate any person or entity; (f) use the Software to process or store data subject to specific regulatory requirements (HIPAA, SOX, etc.) without our prior written approval.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CINESMITH AND STORYBREAK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE.
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100 USD), WHICHEVER IS GREATER.
THIS LIMITATION APPLIES SPECIFICALLY TO ANY FINANCIAL DECISIONS MADE BASED ON BUDGET DATA GENERATED BY THE SOFTWARE. WE EXPRESSLY DISCLAIM ALL LIABILITY FOR PRODUCTION COST OVERRUNS, BUDGET INACCURACIES, OR FINANCIAL LOSSES RESULTING FROM RELIANCE ON THE SOFTWARE'S CALCULATIONS.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
You agree to indemnify, defend, and hold harmless Storybreak and its affiliates from any claims, damages, losses, or expenses arising from: (a) your use of the Software; (b) your violation of these Terms; (c) any financial decisions or production commitments made based on data generated by the Software.
We may suspend or terminate your access to the Software at any time for any reason, including violation of these Terms. Upon termination, your license to use the Software ceases immediately. You may export your data prior to termination. Sections 4, 6, 9, 10, and 11 survive termination.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification. Continued use of the Software after changes constitutes acceptance of the modified Terms.
These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Los Angeles County, California.
